These Terms of Service (the "Terms") govern access to clovty.com (the "Site") and the commerce intelligence and research services provided by Clovty LLC (referred to here as "the Firm," "we," "us," or "our").

Clovty LLC is a limited liability company organized under the laws of the State of Wyoming, United States, with its registered office at 30 N Gould St Ste N, Sheridan, WY 82801.

1. Professional engagement standards

Clovty operates exclusively as a B2B commerce intelligence and research firm. The firm delivers senior-led analytical briefs and custom data modules to enterprise commerce teams. Engagement for services is only finalized upon the execution of a formal, written Engagement Letter or Master Services Agreement (MSA) signed by authorized representatives of both parties.

2. Operational and data integrity

By utilizing our Site or services, you agree to the following protocols:

• Compliance with Law: You will not use the Firm's deliverables for any purpose that violates U.S. federal or state laws, including export control and intellectual property regulations;
• System Integrity: You will not attempt to circumvent the Site's security infrastructure, nor use automated tools to harvest proprietary methodology descriptions or code;
• Ethical Sourcing: All Firm methodology is based on public signals and licensed data. You agree not to request engagements that require the acquisition of data in violation of platform terms of service.

3. Financial and payment terms

All fees are payable to Clovty LLC in U.S. dollars (USD) only. Payment terms and accepted settlement channels are listed below.

• Currency: All fees are stated and payable exclusively in U.S. Dollars (USD);
• Settlement Channels: Payments are accepted only via domestic U.S. wire, international SWIFT wire, or USD ACH transfer to Clovty's designated U.S. business bank account;
• Prohibited Payments: Clovty does not accept payment via cryptocurrency, informal value-transfer systems, or third-party check-cashing services;
• Structure: Typically, a 50% deposit is required for project commencement, with the balance due upon delivery of the final brief or code module.

4. Scope boundaries and disclaimers

Clovty LLC is a data analytics firm and does not provide regulated financial, legal, or tax advice. Specifically:

• No Financial Advice: Our reports provide market intelligence and demand modeling; they do not constitute investment advice or forecasts of company valuations;
• No Product Fulfillment: We do not engage in the physical supply chain, logistics, or fulfillment of consumer products;
• No Account Management: We do not operate marketplaces or manage advertising accounts on behalf of clients.

5. Intellectual property and deliverables

All methodology, proprietary scoring models, and Site content are the exclusive intellectual property of Clovty LLC. Ownership and licensing of specific project deliverables are governed by individual Engagement Letters.

6. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any legal proceedings arising out of or relating to these Terms shall be instituted exclusively in the state or federal courts located in Sheridan County, Wyoming.
